1. Purpose
Bifrost is the proprietary software platform developed and operated by Dealer Glass and Calibrations LLC ("DGNC," "Dealer Glass," "we," "our," or "us"). It is used exclusively by DGNC and its authorized dealership partners to facilitate customer lead intake, insurance verification, scheduling, automotive glass replacement and calibration operations, customer communications, reporting, workflow management, commission administration, quality assurance, and related business activities.
Bifrost is an internal business operations platform and is not offered as a public software-as-a-service ("SaaS") product. Access is granted solely to DGNC personnel and Authorized Users of approved Partner Dealerships for legitimate business purposes in accordance with these Terms.
These Terms of Service and Acceptable Use Policy ("Terms") govern all access to and use of Bifrost. By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Dealer Glass and Calibrations LLC, a Florida limited liability company located at 139 Sandpiper Ridge Dr., Ormond Beach, Florida 32176.
If you access or use Bifrost on behalf of a dealership, repair facility, automotive business, or other organization that has been authorized by DGNC to participate in its dealership partner network (a "Partner Dealership"), you represent and warrant that:
- you are authorized to access the Service on behalf of that organization;
- you have authority to bind that organization to these Terms where applicable;
- your use of the Service is within the scope of your employment or authorized responsibilities.
References to "you" include both the individual user and, where applicable, the Partner Dealership that authorized your access. If you do not agree to these Terms, you may not access or use Bifrost.
3. Definitions
For purposes of these Terms:
"Service" means the Bifrost platform, including all software, applications, databases, interfaces, APIs, dashboards, reports, documentation, and related technology made available by DGNC.
"Partner Dealership" means any dealership or authorized business approved by DGNC to submit customer information through Bifrost.
"Authorized User" means an individual whose account has been created or approved by DGNC or an authorized Partner Dealership administrator.
"Customer Information" includes any information submitted regarding an end customer, including but not limited to names, addresses, telephone numbers, email addresses, vehicle information, VINs, insurance information, photographs, appointment information, communications, claim information, service history, and related operational records.
"Lead" means any customer information submitted through Bifrost for purposes of obtaining automotive glass replacement, calibration services, or related services performed or coordinated by DGNC.
4. Description of the Service
Bifrost is DGNC's proprietary operational platform used to manage the intake, processing, scheduling, servicing, tracking, reporting, and administration of customer work performed through DGNC's dealership partner network. The Service may include functionality relating to:
- customer lead submission;
- vehicle information collection;
- document scanning and automated data extraction (scan-to-prefill);
- insurance verification;
- appointment scheduling;
- technician dispatch;
- calibration scheduling;
- operational reporting;
- dealership performance reporting;
- commission administration;
- customer relationship management;
- customer communications;
- quality assurance;
- analytics;
- workflow automation;
- artificial intelligence features;
- and other operational capabilities introduced from time to time.
DGNC may add, modify, suspend, replace, or discontinue any feature or functionality of the Service at any time without prior notice. Nothing in these Terms obligates DGNC to continue offering any particular feature or functionality.
5. Eligibility and Authorized Users
Access to Bifrost is limited exclusively to Authorized Users. To use the Service, you must:
- be at least eighteen (18) years of age;
- be authorized by DGNC or an approved Partner Dealership;
- maintain accurate account information;
- use the Service solely for authorized business purposes.
Access may be granted by DGNC administrators or authorized Partner Dealership administrators approved by DGNC. DGNC reserves the right to approve, deny, suspend, or revoke access to any user at any time, with or without notice.
Access to Bifrost does not create any employment relationship, agency relationship, partnership, franchise, joint venture, fiduciary relationship, or ownership interest between DGNC and any Authorized User.
6. User Accounts and Security
Each Authorized User must maintain an individual account. Accounts may not be shared, transferred, sold, licensed, assigned, or used by any other individual.
Users are responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account. Users agree to:
- use strong passwords;
- maintain current contact information;
- promptly report suspected unauthorized access;
- log out from shared devices;
- comply with DGNC security requirements.
DGNC may require password resets, multi-factor authentication, or additional security measures at any time. DGNC is not responsible for losses resulting from a user's failure to maintain reasonable account security.
7. Acceptable Use
Authorized Users shall use Bifrost solely for legitimate business purposes authorized by DGNC. Users shall not:
- violate any applicable law or regulation;
- submit fraudulent, inaccurate, misleading, or fabricated customer information;
- submit duplicate leads intended to manipulate reporting or commission systems;
- access information belonging to another Partner Dealership without authorization;
- upload customer information without obtaining the customer's valid authorization as required by applicable law;
- impersonate another user;
- share login credentials;
- interfere with the operation or security of the Service;
- upload malicious software or harmful code;
- attempt to reverse engineer, decompile, disassemble, or otherwise analyze the Service except where expressly permitted by law;
- scrape, crawl, harvest, copy, export, or reproduce information contained within the Service without written authorization;
- use automated software, bots, scripts, or artificial means to access the Service;
- circumvent security controls or access restrictions;
- attempt unauthorized access to DGNC systems;
- use the Service for the benefit of any competitor of DGNC;
- use information obtained through the Service to solicit customers, dealerships, employees, contractors, technicians, or business opportunities away from DGNC;
- infringe any intellectual property rights;
- interfere with another user's access to the Service.
Violation of this section may result in immediate suspension or permanent termination of access.
8. Customer Consent Requirements
Customer information may only be submitted when the submitting user has obtained all authorizations and consents required by applicable federal, state, and local law. Each submission constitutes the submitting user's representation that:
- the customer knowingly provided the submitted information;
- the customer authorized DGNC to contact the customer regarding the requested automotive glass services;
- all required disclosures were provided;
- all required permissions were obtained before submission.
Where the optional scanning feature is used to capture a customer's identification, insurance, or other documents, the submitting user must have obtained the customer's authorization to capture and process those documents.
Bifrost may require users to affirm customer consent electronically before submission. DGNC maintains electronic records of consent affirmations, submission timestamps, user identification, IP addresses, and related audit information for compliance, operational, evidentiary, and legal purposes.
Submission of customer information without required authorization constitutes a material violation of these Terms.
9. Partner Dealership Responsibilities
Each Partner Dealership is responsible for ensuring that all Authorized Users acting on its behalf comply with these Terms. Each Partner Dealership represents and warrants that:
- it has authorized each individual granted access to Bifrost;
- it will promptly notify DGNC whenever an Authorized User should no longer have access;
- it maintains internal policies sufficient to comply with applicable consumer protection, privacy, telecommunications, and marketing laws;
- information submitted through Bifrost is accurate to the best of its knowledge;
- it will cooperate with DGNC regarding compliance investigations involving customer submissions or misuse of the Service.
Partner Dealerships remain responsible for the actions of their personnel while using the Service.
10. Customer Data Ownership
DGNC is and shall remain the sole owner of all Customer Information, Leads, customer records, operational records, analytics, and business records submitted to or generated through the Service, except to the extent prohibited by applicable law. Without limitation, DGNC owns all right, title, and interest in Customer Information, Leads, customer contact information, vehicle information, VINs, insurance information, claim information, appointment information, photographs and supporting documentation, communications with customers, estimates, invoices, service history, warranty records, calibration records, reporting, operational metrics, workflow data, audit records, analytics, commission records, customer relationship history, and all other records created, submitted, stored, or generated through the Service.
Customer Information submitted through Bifrost immediately becomes part of DGNC's official business records and customer relationship management system for purposes including, but not limited to, scheduling, service fulfillment, customer support, insurance processing, warranty administration, quality assurance, compliance, reporting, analytics, customer relationship management, future customer communications as permitted by applicable law, and ongoing business operations.
Neither a Partner Dealership nor any Authorized User acquires any ownership interest in Customer Information or DGNC business records by virtue of using the Service. Partner Dealerships receive only a limited, revocable right to access Customer Information strictly as necessary to perform authorized duties on behalf of DGNC.
Nothing contained in these Terms shall be construed as transferring ownership of any Customer Information, Lead, operational record, business record, or customer relationship from DGNC to any Partner Dealership or Authorized User.
11. Privacy and Data Processing
DGNC is responsible for determining the purposes and means by which Customer Information submitted through the Service is processed. DGNC serves as the controller of Customer Information processed through Bifrost and may process such information for business operations, customer support, scheduling, quality assurance, compliance, analytics, warranty administration, legal obligations, fraud prevention, and other legitimate business purposes.
Each Partner Dealership remains solely responsible for the personal information of its own employees, contractors, and users that it submits for account administration purposes. Each Partner Dealership represents that it has obtained all permissions necessary to authorize its personnel to access the Service.
Use of Customer Information is additionally governed by DGNC's Privacy Policy, which is incorporated into these Terms by reference.
12. Confidentiality
During use of the Service, Authorized Users may obtain access to confidential and proprietary information belonging to DGNC. Confidential Information includes, without limitation, Customer Information, dealership information, pricing, commission structures, operational procedures, reporting, dashboards, analytics, software functionality, source code, workflows, training materials, business strategies, marketing information, vendor relationships, financial information, product roadmaps, artificial intelligence models, algorithms, documentation, and any information that a reasonable person would understand to be confidential.
Authorized Users agree to:
- maintain the confidentiality of all Confidential Information;
- use Confidential Information solely for authorized business purposes;
- prevent unauthorized disclosure;
- exercise reasonable care in protecting Confidential Information;
- promptly notify DGNC of any suspected unauthorized disclosure.
Confidential Information may not be copied, exported, reproduced, transmitted, or disclosed except as expressly authorized by DGNC. These confidentiality obligations survive termination of access to the Service.
13. Intellectual Property
The Service and all related technology are owned exclusively by DGNC and are protected by United States and international intellectual property laws. DGNC retains all right, title, and interest in and to Bifrost, all software, source code, object code, databases, architecture, user interfaces, workflows, APIs, algorithms, artificial intelligence models, documentation, reports, branding, trademarks, service marks, trade secrets, know-how, derivative works, modifications, enhancements, updates, improvements, and all associated intellectual property rights.
These Terms grant only a limited, revocable, non-exclusive, non-transferable license to use the Service for authorized business purposes. No ownership rights are transferred. Users may not copy, modify, distribute, sublicense, lease, sell, reverse engineer, create derivative works from, or otherwise exploit the Service except as expressly authorized in writing by DGNC.
Any feedback, suggestions, recommendations, enhancement requests, or other ideas submitted regarding the Service may be freely used by DGNC without restriction or compensation.
14. Third-Party Services
The Service may integrate with or rely upon third-party software, platforms, APIs, hosting providers, authentication services, communications providers, or infrastructure providers. These services may include, without limitation:
- HubSpot;
- Amazon Web Services;
- Google Workspace;
- Google OAuth;
- Google Vertex AI (Gemini models) — used to extract text and fields from document images captured through the scanning feature;
- Amazon Simple Email Service;
- NHTSA vPIC;
- mapping providers;
- communications providers;
- analytics providers;
- and similar technology vendors.
DGNC may add, replace, or remove third-party providers at any time. Availability of third-party services is outside DGNC's control. DGNC shall not be responsible for outages, interruptions, errors, delays, or failures caused by third-party providers. Use of third-party services remains subject to those providers' respective terms and privacy policies.
15. Security Requirements
Authorized Users agree to use commercially reasonable efforts to protect the security of the Service. Users shall not:
- share credentials;
- bypass security controls;
- intentionally introduce malware;
- attempt unauthorized access;
- interfere with authentication systems;
- disable logging;
- perform penetration testing without written authorization;
- connect unauthorized software to the Service.
Users shall promptly report any suspected security incident, compromised account, unauthorized access, data breach, malware infection, or suspicious activity involving the Service. DGNC may implement additional security controls, authentication requirements, or access restrictions at any time.
16. Audit Logs, Monitoring, and Compliance
DGNC maintains comprehensive audit logs relating to use of the Service. Such records may include login history, IP addresses, device information, authentication events, lead submissions, customer consent affirmations, edits, scheduling activity, workflow actions, administrative changes, exports, communications, and other system events.
Authorized Users acknowledge and consent to DGNC monitoring, recording, reviewing, and analyzing use of the Service for purposes including security, fraud prevention, compliance, quality assurance, operational improvement, technical support, legal compliance, dispute resolution, regulatory investigations, and enforcement of these Terms.
Audit logs maintained by DGNC may be relied upon as business records and evidentiary records in connection with investigations, disputes, legal proceedings, or regulatory matters.
17. Competitive Use Restrictions
Bifrost is developed exclusively for DGNC's business operations. Neither Authorized Users nor Partner Dealerships may use the Service or any information obtained through the Service for the benefit of any business competing with DGNC. Without limiting the foregoing, users shall not use information obtained through the Service to:
- solicit DGNC customers;
- solicit Partner Dealerships away from DGNC;
- recruit DGNC employees, contractors, or representatives;
- duplicate DGNC operational processes;
- create competing software based upon the Service;
- develop competing databases using information obtained from the Service;
- or otherwise compete against DGNC using information derived from the Service.
DGNC reserves all rights to pursue legal and equitable remedies for violations of this section.
18. Artificial Intelligence, Analytics, and Product Improvement
DGNC continually develops, enhances, and improves the Service. To support these efforts, DGNC may use information generated through operation of the Service — including aggregated, anonymized, de-identified, or statistical operational data — to develop, test, improve, train, and optimize reporting and analytics, workflow automation, operational dashboards, artificial intelligence and machine learning models, scheduling optimization, routing optimization, quality assurance processes, fraud detection, forecasting, customer experience improvements, software functionality, and other current or future features of the Service.
DGNC will process Customer Information in accordance with applicable law and its Privacy Policy. Nothing in this section authorizes the public disclosure or sale of personally identifiable Customer Information except as otherwise permitted by law or authorized by the customer.
19. Document Scanning and Automated Extraction
Bifrost may offer an optional scanning feature that allows an Authorized User to capture images of documents — such as driver's licenses, insurance cards, or vehicle VIN plates — and uses a third-party artificial-intelligence document-extraction service (currently Google Vertex AI / Gemini models) to recognize and prefill relevant fields.
By using this feature, the Authorized User acknowledges and agrees that:
- use of the scanning feature is optional, and information may always be entered manually instead;
- the user must have obtained all authorizations required by applicable law before scanning any document containing a customer's personal information;
- captured images are transmitted to the extraction provider solely to perform the extraction, are processed transiently, and, under DGNC's agreement with the provider, are not used to train the provider's generally available artificial-intelligence models;
- automated extraction may be incomplete or inaccurate, and the Authorized User is responsible for reviewing, correcting, and verifying all extracted information before submission;
- DGNC is not responsible for errors, omissions, or losses arising from extracted information that the Authorized User failed to review or correct.
DGNC may modify, limit, or discontinue the scanning feature or change the extraction provider at any time.
20. Service Availability
DGNC makes reasonable efforts to maintain the availability and reliability of the Service but does not guarantee uninterrupted or error-free operation. The Service may become temporarily unavailable due to scheduled maintenance, emergency maintenance, software updates, infrastructure failures, internet outages, third-party service interruptions, cybersecurity events, force majeure events, or other operational circumstances.
DGNC may suspend access to all or part of the Service at any time to maintain system security, protect Customer Information, improve functionality, or address operational needs. DGNC shall not be liable for temporary interruptions or downtime of the Service.
21. Suspension of Access
DGNC may immediately suspend or restrict access to the Service, with or without notice, whenever DGNC reasonably believes such action is necessary to protect Customer Information, protect system security, investigate suspected fraud, investigate unauthorized activity, prevent violations of these Terms, comply with legal obligations, respond to law enforcement requests, address cybersecurity incidents, protect DGNC personnel, customers, or Partner Dealerships, or maintain operational integrity.
Suspension may apply to individual users, specific Partner Dealerships, or the Service as a whole. DGNC may restore access at its sole discretion.
22. Termination
DGNC may terminate any Authorized User's access to the Service at any time, with or without cause and with or without prior notice. A Partner Dealership may request removal of any Authorized User associated with its organization at any time.
Termination of access immediately revokes all rights granted under these Terms. Upon termination, users shall immediately cease accessing or attempting to access the Service. DGNC may permanently disable accounts, revoke credentials, preserve audit records, and retain Customer Information and business records in accordance with these Terms and applicable law.
Sections relating to confidentiality, intellectual property, Customer Information, audit records, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination shall remain in effect.
23. Data Retention
DGNC retains Customer Information, operational records, audit logs, communications, and related business records for as long as reasonably necessary to operate its business, service customers, administer warranties, satisfy contractual obligations, resolve disputes, detect fraud, comply with legal, regulatory, tax, insurance, and recordkeeping obligations, protect its legal interests, and fulfill other legitimate business purposes.
DGNC may permanently delete records when they are no longer reasonably necessary for these purposes. Termination of a Partner Dealership's participation in the DGNC partner network does not require deletion of Customer Information or business records previously submitted through the Service.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
DGNC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR RESULTS OBTAINED FROM USE OF THE SERVICE.
DGNC DOES NOT WARRANT THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE WILL ALWAYS BE AVAILABLE, OR THAT THE SERVICE WILL BE FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DGNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS OPPORTUNITIES; LOSS OF GOODWILL; BUSINESS INTERRUPTION; DATA LOSS; OR SIMILAR DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
26. Indemnification
Each Partner Dealership agrees to defend, indemnify, and hold harmless DGNC, its parent companies, affiliates, managers, officers, directors, employees, contractors, successors, and assigns from and against any claims, liabilities, damages, judgments, settlements, costs, expenses, and reasonable attorneys' fees arising from:
- unauthorized or unlawful use of the Service;
- Customer Information submitted without legally required authorization;
- violations of applicable privacy laws;
- violations of the TCPA;
- violations of CAN-SPAM;
- violations of applicable consumer protection laws;
- misuse of the Service by Authorized Users;
- fraud;
- inaccurate information submitted through the Service;
- or breach of these Terms.
DGNC shall likewise indemnify the Partner Dealership against third-party claims alleging that the Service itself infringes a United States intellectual property right, subject to customary exclusions.
27. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
The parties agree that any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located within the State of Florida, unless otherwise required by applicable law.
28. Changes to These Terms
DGNC may modify these Terms from time to time. Material changes may be communicated by electronic mail, in-application notices, postings within the Service, or other reasonable means.
Continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms. If a user does not agree to revised Terms, the user must discontinue use of the Service.
29. Electronic Acceptance
By creating an account, logging into the Service, clicking an acceptance button, using the Service, or otherwise electronically indicating acceptance, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. Electronic acceptance shall have the same force and effect as a handwritten signature.
30. Reservation of Rights
Except for the limited rights expressly granted under these Terms, Dealer Glass and Calibrations LLC reserves all rights, title, and interests in and to the Service and all related intellectual property. Nothing contained in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any license, ownership interest, or other right not expressly set forth herein.
DGNC reserves the right, at any time and in its sole discretion, to:
- modify, improve, suspend, or discontinue any portion of the Service;
- add, remove, or modify functionality or features;
- establish or modify security requirements;
- establish or modify eligibility requirements;
- investigate suspected violations of these Terms;
- enforce these Terms through technical, administrative, or legal means;
- protect the integrity, security, and operation of the Service; and
- exercise any other rights available under applicable law.
The rights and remedies provided under these Terms are cumulative and are in addition to any other rights or remedies available under applicable law.
31. Miscellaneous
These Terms constitute the entire agreement between DGNC and Authorized Users regarding access to and use of the Service and supersede all prior or contemporaneous discussions, understandings, communications, representations, or agreements relating to the Service.
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
No waiver of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision. Any waiver must be in writing and signed by an authorized representative of DGNC.
Authorized Users may not assign, transfer, sublicense, delegate, or otherwise convey any rights or obligations under these Terms without the prior written consent of DGNC. Any attempted assignment in violation of this section shall be void. DGNC may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, corporate restructuring, financing transaction, or other business reorganization.
DGNC shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications failures, utility outages, cybersecurity incidents, pandemics, epidemics, or failures of third-party service providers.
Headings contained in these Terms are provided solely for convenience and shall not affect the interpretation of any provision. The words "including," "includes," and "such as" shall be deemed to be followed by the phrase "without limitation." These Terms shall be interpreted fairly and not for or against either party based upon authorship.
